ARTICLE 7.01. DISCLOSURE FD REGULATION.

As part of the commencement of discussions with potential investors in the proposed AAdvantage financing (as defined below), American Airlines Group Inc.
(the “Company”) makes certain information available on AAdvantage Loyalty IP Ltd., a new Cayman Islands exempt company incorporated with limited liability and indirect wholly owned subsidiary of American Airlines, Inc. (“American”), excerpts from which are attached to this Report as Exhibit 99.1. The information in this Section 7.01, including Exhibit 99.1, is provided and will not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). , or otherwise subject to the responsibilities of this section and will not be deemed to be incorporated by reference in any registration statement or other document filed under the Securities Act of 1933, as amended (the “Securities Act”), unless this is expressly stipulated by specific reference in such a deposit.

ARTICLE 8.01. OTHER EVENTS.

At March 8, 2021, the Company issued a press release announcing that American and AAdvantage Loyalty IP Ltd. intends to launch a private offer of
$ 2,500,000,000 senior secured notes due 2026 and $ 2,500,000,000 senior secured notes due 2029 (collectively, the “Notes”) and enter into a $ 2,500,000,000
Senior Secured Term Credit Facility (the “New AAdvantage Term Loan Facility” and together with the offering of the Notes, the “AAdvantage Financing”) simultaneously with the closing of the offering of the Notes.
